User's Acknowledgment and Acceptance of Terms

The Sidekicks.co site and our services are provided to you subject to the terms, conditions, and notices contained or referenced herein (the "Terms of Use") and any posted rules that may appear on the site.

BY USING THIS SITE AND OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO BE BOUND BY THE THESE TERMS OF USE, PLEASE EXIT THE SITE NOW.

These Terms of Use are effective as of the "Last Modified" date at the top of this page. We expressly reserve the right to change these Terms of Use from time to time without notice to you. Use of this site after such modifications will constitute acknowledgement of the modified Terms of Use and your agreement to abide and be bound by them. In the event that such modifications materially alter your rights or obligations hereunder, such amended Terms of Use will automatically be effective upon the earlier of your actual knowledge of such modifications, or 30 days from publication of such modified Terms of Use on this site. Notwithstanding the foregoing, the resolution of any dispute that arises between you and us will be governed by the Terms of Use in effect at the time such dispute arose.

As used in these Terms of Use, references to our "Affiliates" include our owners, producers, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers.

Overview of our Services

Services and working hours are non-transferable. Customers cannot sell or give away hours from your subscription. You are free to recommend a subscription for your friends, family and loved ones—they'll love you and so will we. Your Sidekicks account is also non-transferable. All Sidekicks plans are governed by an 8 hours daily hour limit but overtime can be provided in specific and mutually agreed upon cases. Any hours unused on the day will not carry over.

Either Party may terminate this Agreement upon 30 days written notice to the other Party. Any agreement between customer and agent, in connection with a service contract, requiring that payment be made outside of Sidekicks shall constitute a material breach of this agreement and the subscription is subject to cancellation without refund.

Ownership and Confidentiality of Work Product

If a Sidekicks agent creates anything original for you ("Work Product"), Sidekicks grants to you a non-exclusive, royalty-free, irrevocable, non-transferable license to use the Work Product for your own personal and commercial purposes. Sidekicks owns the Work Product and has the right to use and disclose the Work Product to any third party, provided that Sidekicks will not disclose your confidential information to any third party.

Guarantee & Warranty

There is no warranty on any of the information, tasks, or projects your Sidekicks Agent completes for you. We will do our best to provide the most accurate, most effective information available. However, if we give you information or results that is wrong, although we'll be deeply sorry, you can't hold us liable for it legally or morally.

Pricing & Payment

By executing this Agreement, the Customer agrees to pay Sidekicks Services Ltd for 160 hours (Full Time) at agreed price per agent per month.

Applicable additional fees may be incurred for overtime beyond normal working hours and during approved holidays at double the standard hourly price agreed per hour.

The parties agree that Sidekicks Services Ltd. will automatically increase the monthly rate by 8% annually for any Agent that has worked for the Customer for 12 months. Please note that our annual increase is passed on directly to our agents in the Philippines to compensate them for their more experienced service to the Customer. Sidekicks Services Ltd. does not incur any additional profit from these increases. They are scheduled as follows:

  • After 6 months - 4% increase
  • After 1 year - 4% increase
  • 8% annually thereafter (4 year maximum)

Our finance department will send the notification of the increase, 30 days prior the effective date.

Refund Policy

  1. A client can request for a refund if:
    1. Sidekicks Team is underperforming or not performing to your satisfaction within the first 30 days.
    2. The client already paid but has not started the service yet and wishes to cancel.
  2. Sidekicks will NOT issue a refund if the client fails to adhere to the documents included in the welcome package.
  3. The refund will be prorated to the number of the days remaining until the next billing date where the Client wants immediate cancellation.

Cancellations

If you leave us, we'll miss you but we won't hold you back. Monthly subscription can be canceled at any time with no additional fees or hassle. In order to get a refund for your first month of service, you must cancel within the first 30 days. If you cancel after that period, you will be charged up to the end of that month's service. If you've signed up via credit card, just contact our Client Happiness team at: hello@sidekicks.co and ask us to cancel your subscription.

We may cancel your monthly subscription for any or no reason immediately upon notice to you but, if we do, we will give you a prorated refund at the standard monthly rate for any time period for which you have already paid.

Termination of Service

In darker news, we reserve the right to terminate the service of a Sidekicks client at any time — for any reason. That means that rarely and under great duress we may end our relationship with a client. Some examples are:

  1. If the client is constantly requesting tasks outside the scope of their service plan and we are unable to find a solution.
  2. If the client is abusive to his/her agent or any other Sidekicks team member. Abuse can be considered, but is not limited to, verbal abuse, written abuse, any form of racism, or sexism. Belittlement of any kind will not be tolerated.
  3. If the client is sharing or allowing another person/company to give tasks to the Agent.

Sidekicks Terms of Service Non-solicitation Provision

I acknowledge that Sidekicks Services Ltd. has made a substantial investment in recruiting, training and matching skilled Sidekicks agents with each of its clients, and that Sidekicks has a legitimate interest in earning a reasonable return on those investments. I also acknowledge that Sidekicks Services Ltd. has agreements with Sidekick Agents that protect this interest by requiring that Sidekicks Agents obtain Sidekicks Services Ltd. prior written consent before accepting any direct engagement (whether as an employee, consultant, contractor or otherwise) with the Sidekicks client to whom they were assigned. Accordingly, to the fullest extent permitted under applicable law, I agree that during my subscription and for a period of twelve (12) months immediately following the termination of my subscription with Sidekicks Services Ltd. for any reason, I shall not directly or indirectly solicit any Sidekicks agent who is assigned to me at that time or who was assigned to me within the six months preceding termination of my relationship with Sidekicks Services Ltd. to leave his or her employment with Sidekicks Services Ltd. and to work for me in any engagement directly or indirectly. Should any solicitation by me become a substantial factor resulting in a Sidekicks agent leaving Sidekicks Services Ltd. and accepting an engagement with me directly or indirectly without Sidekicks Services Ltd. consent, I agree to pay Sidekicks as liquidated damages reasonably calculated to compensate Sidekicks Services Ltd. for its lost investment and not as a penalty of any kind, a one-time fee equivalent to one year of my most recent monthly Sidekicks subscription.
